The Company operates in a highly competitive industry, which may have a material adverse effect on its business, financial condition and results of operations. If the current weakness continues in the retail markets including hardware stores, home centers, mass merchants and other retail outlets in North America, or general recessionary conditions worsen, it could have a material adverse effect on the Company s business. The Company has significant indebtedness that could affect operations and financial condition. The failure to meet certain financial covenants required by our credit agreements may materially and adversely affect assets, financial position and cash flows. The Company s business, financial condition and results of operations may be materially adversely affected by seasonality. Large customer concentration and the inability to penetrate new channels of distribution could adversely affect the business. Successful sales and marketing efforts depend on the Company s ability to recruit and retain qualified employees. The Company is exposed to adverse changes in currency exchange rates. The Company s results of operations could be negatively impacted by inflation or deflation in the cost of raw materials, freight and energy. The Company s business is subject to risks associated with sourcing product from overseas. Acquisitions have formed a significant part of our growth strategy in the past and may continue to do so. If we are unable to identify suitable acquisition candidates or obtain financing needed to complete an acquisition, our growth strategy may not succeed. If the Company were required to write down all or part of its goodwill or indefinite-lived tradenames, its results of operations could be materially adversely affected.
