The revolver and the indenture governing the Company s 9.75% notes impose limitations on how the Company conducts its business; as a result, it may not be able to pursue strategies that could be in the best interests of holders of the notes. The Company is controlled by two principal shareholders and they may require it to take actions, such as increasing the Company s indebtedness, which may not be in the best interests of holders of the 9.75% notes. Raw materials price increases may reduce results of operations. The commercial floorcovering industry is highly competitive. The floorcovering industry is cyclical and prolonged declines in commercial construction activity or corporate remodeling and refurbishment could have a material adverse effect on the Company s business. Fuel and energy price increases may reduce results of operations. The Company is subject to federal, state and local laws and regulations relating to environmental matters.
