Recent legislative and regulatory initiatives to address difficult market and economic conditions may not stabilize the U.S. banking system. If current levels of market disruption and volatility continue or worsen, there can be no assurance that we will not experience an adverse effect, which may be material, on our ability to access capital and on our business, financial condition, results of operations, and cash flows. U.S. and international financial markets and economic conditions, particularly in our market area, could adversely affect our liquidity, results of operations and financial condition. Proposed regulatory reform may have a material impact on our operations. Liquidity is essential to our businesses and we rely on external sources to finance a significant portion of our operations. The limitations on executive compensation imposed through our participation in the TARP Capital Purchase Program may restrict our ability to attract, retain and motivate key employees, which could adversely affect our operations. Future dividend payments and common stock repurchases are restricted by the terms of the U.S. Treasury s equity investment in us. The terms governing the issuance of the preferred stock to the U.S. Treasury may be changed, the effect of which may have an adverse effect on our operations. Our business is subject to the success of the local economy in which we operate. If the value of real estate in northwestern suburbs of Boston were to decline materially, a significant portion of our loan portfolio could become under-collateralized, which could have a material adverse effect on us. Our continued pace of growth may require us to raise additional capital in the future, but that capital may not be available when it is needed. Competition from financial institutions and other financial service providers may adversely affect our growth and profitability. Future FDIC assessments will reduce our earnings. Fluctuations in interest rates could reduce our profitability and affect the value of our assets. Our allowance for loan losses may prove to be insufficient to absorb losses in our loan portfolio. We are dependent upon the services of our management team. Our failure to continue to recruit and retain qualified loan originators could adversely affect our ability to compete successfully and affect our profitability. We operate in a highly regulated environment and we may be adversely affected by changes in laws and regulations.
