Our principal unit holders may effectively exercise control over matters requiring unit holder approval. Our cash flows and results of operations could be adversely affected if legal claims are brought against us and are not resolved in our favor. There is no assurance we will have net cash flow from operations from which to pay distributions. Risks Related to Our Business and Properties We may suffer losses at our properties that are not covered by insurance. Future terrorist attacks in the United States could harm the demand for and the value of our properties. Our ability to pay distributions and the value of our properties and the Units are subject to risks associated with real estate assets and with the real estate industry in general. We face significant competition, which may decrease the occupancy and rental rates of our properties. Our debt level reduces cash available for distribution and could expose us to the risk of default under our debt obligations. We could incur significant costs related to government regulation and private litigation over environmental matters. We may incur significant costs complying with other regulations. We may invest in joint ventures, which add another layer of risk to our business. Tax gain or loss on disposition of Units could be different than expected. If you are a tax-exempt entity, a mutual fund or a foreign person, you may experience adverse tax consequences from owning Units. We will treat each purchaser of Units as having the same tax benefits without regard to the Units purchased. The IRS may challenge this treatment, which could adversely affect the value of the Units. You likely will be subject to state and local taxes in states where you do not live as a result of an investment in Units.
