Risks Relating to our Business We may not be able to continue as a going concern. We will need significant additional capital, which we may be unable to obtain. If our strategy is unsuccessful, we will not be profitable and our shareholders could lose their investments. We may not be able to grow or to effectively manage our growth. Disruptions in world financial markets and the resulting governmental action in the United States and in other parts of the world could have a material adverse impact on our results of operations, financial condition and cash flows. Acts of piracy on ocean-going vessels have recently increased in frequency, which could adversely affect our business. Fuel prices may adversely affect profits. We are subject to international safety regulations and the failure to comply with these regulations may subject us to increased liability, may adversely affect our insurance coverage and may result in a denial of access to, or detention in, certain ports. Our vessels may suffer damage due to the inherent operational risks of the seaborne transportation industry and we may experience unexpected drydocking costs, which may adversely affect our business and financial condition. Delays or defaults by the shipyards in the construction of any new vessels that we may order or lease could increase our expenses and diminish our net income and cash inflows. An increase in costs could materially and adversely affect our financial performance. We may face unexpected repair costs for our vessels. We plan to operate our vessels internationally and, as a result, our vessels will be exposed to international risks that could reduce revenue or increase expenses. Terrorist attacks and international hostilities can affect the seaborne transportation industry, which could adversely affect our business. We depend on our key personnel and may have difficulty attracting and retaining them. We may be unable to attract and retain qualified, skilled employees or crew necessary to operate our business. Increased inspection procedures and tighter import and export controls could increase costs and disrupt our business. Our vessels may be requisitioned by governments without adequate compensation. Arrests of our vessels by maritime claimants could cause a significant loss of earnings for the related off-hire period. Risks Related to Doing Business in Vietnam Any adverse change to the economy or business environment in Vietnam could significantly affect our operations, which would lead to lower revenues and reduced profitability. A downturn in the economy of Vietnam may slow our growth and profitability. Restrictions on currency exchange may limit our ability to receive and use our revenues effectively. Currency fluctuations may adversely affect our operating results. It will be extremely difficult to acquire jurisdiction and enforce liabilities against our officers, directors and assets based in Vietnam. Risks Related to the Company s Common Stock Our Chairman owns the majority of our outstanding Common Stock. Although our common stock is approved for quotation on the OTC Bulletin Board, to date our stock has not traded. If trading commences, the price may not reflect our value and there can be no assurance that there will be an active market for our shares of common stock either now or in the future. The Company s common stock will be subject to the penny stock rules of the SEC, which may make it more difficult for stockholders to sell the Company s common stock. As an issuer of penny stock, the protection provided by the federal securities laws relating to forward looking statements does not apply to the Company. The Company has not paid dividends in the past and does not expect to pay dividends for the foreseeable future. Any return on investment may be limited to the value of the Company s common stock.
