Risks Relating to an Investment in Legends Business Group We are a development stage company organized in March 2006 and have no operating history, which makes an evaluation of us extremely difficult. At this stage of our business operations, even with our good faith efforts, potential investors have a high probability of losing their investment. Our ability to continue as a going concern is in doubt. We will require additional financing in order to implement our marketing plan. In the event we are unable to acquire additional financing, we may not be able to implement our market plan resulting in a loss of revenues and ultimately the loss of your investment. The issuance of additional shares of stock to obtain additional financing may dilute the holdings of our existing stockholders or reduce the market price of our stock. We currently have no arrangements to provide for additional financing. Our revenues are currently generated from a related party. Our operations could suffer from telecommunications or technology downtime, disruptions or increased costs. We could cause disruptions to our clients business from inadequate service. Our insurance coverage may be inadequate. Our clients may adopt technologies that decrease the demand for our services, which could reduce our revenues and seriously harm our business. Unauthorized disclosure of sensitive or confidential client and customer data, whether through breach of our computer systems or otherwise, could expose us to protracted and costly litigation and cause us to lose clients. We are significantly dependent on Larry Powalisz, our Chairman, CEO and President, who has limited experience in running a business such as ours. The loss or unavailability to Legends Business Group of Mr. Powalisz s services would have an adverse effect on our business, operations and prospects which could result in a loss of your investment in us. Mr. Powalisz is currently involved with other businesses and there can be no assurance that he will continue to provide services to us. We do not have an employment agreement with Mr. Powalisz. Mr. Powalisz s limited time devotion to Legends Business Group could have an adverse effect on our operations. Mr. Powalisz, our Chairman, CEO and President is the majority shareholder of LGBS stock. We have incurred losses and may continue to incur losses for the foreseeable future. Continued losses could result in the loss of your investment. Because our common stock is deemed a low-priced Penny stock, an investment in our common stock should be considered high risk and subject to marketability restrictions. These marketability restrictions may prevent you from liquidating your stock, thus causing a loss of your investment.
