The Partnership s cable systems are operated under franchises that are subject to non-renewal or termination. The failure to renew a franchise in one or more key markets could adversely affect the Partnership s business. The Partnership s cable systems are operated under franchises that are non-exclusive. Accordingly, local franchising authorities can grant additional franchises and create competition in market areas where none existed previously, resulting in overbuilds, which could adversely affect results of operations. Further regulation of the cable industry could cause the Partnership to delay or cancel service or programming enhancements or impair the Partnership s ability to raise rates to cover its increasing costs, resulting in reductions to net income. Actions by pole owners might subject the Partnership to significantly increased pole attachment costs. The Partnership may be required to provide access to its networks to other Internet service providers, which could significantly increase competition and adversely affect the Partnership s ability to provide new products and services. Changes in channel carriage regulations could impose significant additional costs on the Partnership. Offering voice communications service may subject the Partnership to additional regulatory burdens, causing it to incur additional costs. The Partnership s indebtedness could materially and adversely affect its business The Partnership may be unable to complete the sale of its assets on reasonable terms. Because there is no public market for the Partnership s units of limited partnership interest, limited partners may not be able to sell their units. Northland Communications Corporation, the managing general partner, is responsible for conducting the Partnership s business and managing its operations. Affiliates of the managing general partner may have conflicts of interest and limited fiduciary duties, which may permit the managing general partner to favor its own interests to the Partnership s detriment. Unitholders have limited voting rights and limited ability to influence the Partnership s operations and activities.
